The full agreement covering the Services, and a plain description of the risks involved in trading. Please read section 6 and section 8 in particular.

1. Scope and acceptance
These Terms & Conditions (“Terms”) govern your access to and use of the Genni AI website, dashboard, trading bots, indicators, custom development work and any related services (together, the “Services”), provided by Genni AI (“Genni AI”, “we”, “us”).
By creating an account, ticking the acceptance box during registration, or using any part of the Services, you confirm that you have read, understood and agree to be bound by these Terms, the Risk Disclosure in section 6, and the Privacy Policy. If you do not agree, you must not use the Services.
2. Definitions
- Account — your Genni AI website account, accessed with the username and password you create at registration.
- Trading Account — your own account with a third-party broker, accessed through MetaTrader or a comparable platform.
- Bot — automated trading software made available by Genni AI on a subscription basis.
- Indicator — analytical software that displays information on a trading chart and does not itself place orders.
- Subscription — a recurring, time-limited right to use a Bot, Indicator or other Service.
- Custom Work — indicator development or strategy automation carried out to your specification.
3. Eligibility
You may use the Services only if you are at least 18 years old and legally competent to contract under the laws applicable to you (including, where relevant, the Indian Contract Act, 1872). You confirm that:
- you are acting on your own behalf and not on behalf of any undisclosed third party;
- you are permitted, under the laws of your country of residence, to trade the instruments you intend to trade and to use the Services;
- the funds in your Trading Account are lawfully yours; and
- the information you provide to us at registration is true, current and complete.
It is your responsibility — not ours — to determine whether your use of any Service is lawful where you live. See section 8.
4. Nature of our services
Genni AI is a technology provider. We build, license and maintain software. Specifically:
- We do not operate as a broker, dealer, exchange or clearing house.
- We do not hold, receive, control or have custody of your money at any time. Your capital remains with your broker throughout.
- We do not manage portfolios or exercise discretion over your Trading Account beyond executing the rules of the software you have chosen to run.
- We do not provide personalised investment, financial, legal or tax advice.
Any Bot or automated strategy operates on your Trading Account under configuration you select and can stop at any time.
5. No investment advice, no guarantee of profit
Nothing on this website, in the dashboard, in any Bot or Indicator output, or in any communication from us constitutes investment advice, a recommendation, a solicitation, or an offer to buy or sell any financial instrument.
Genni AI does not guarantee profits, returns, income, win rates, drawdown limits or any other specific outcome. We make no representation that any Service will be profitable, will avoid losses, or will perform in line with any historical figure, back-test or example. Any performance information that may be shared is historical, relates to a specific configuration and period, and is not a prediction or a promise.
Past performance does not guarantee or indicate future results.
6. Risk disclosure
Please read this section carefully. It describes risks that can result in the loss of your money.
6.1 Substantial risk of loss
Trading in financial markets — including foreign exchange, contracts for difference, derivatives, commodities, indices, equities and digital assets — involves a substantial risk of loss and is not suitable for every person. You can lose part or all of your invested or trading capital. Where leverage is used, losses can accumulate rapidly and, depending on your broker’s terms, may in some circumstances exceed your deposited funds.
6.2 No guaranteed outcome
Markets are uncertain. No system, model, indicator, strategy or automation can eliminate risk or reliably predict future prices. Any strategy that has performed well historically may perform poorly, or fail entirely, in future market conditions.
6.3 Leverage and margin
Leveraged products magnify both gains and losses. A relatively small adverse market movement can produce a loss substantially greater than your initial margin, and can trigger margin calls or the forced closure of positions by your broker.
6.4 Volatility, gaps and liquidity
Prices can gap through your intended entry, stop-loss or take-profit levels — for example at market open, around economic news, or during periods of low liquidity. A stop-loss is not a guarantee of execution at the requested price.
6.5 Suitability
You should only trade capital that you can afford to lose entirely without affecting your financial security or lifestyle. If you are in any doubt, seek advice from an independent, appropriately licensed financial adviser before using any Service.
7. Specific risks of automated trading
Using a Bot, an automated strategy or an Indicator introduces risks in addition to ordinary market risk. These include, without limitation:
- Strategy risk — automation reproduces a set of rules faithfully, including any flaw or blind spot in those rules. Automating a losing strategy produces losses faster, not fewer.
- Over-fitting — a strategy tuned to historical data may not generalise to live markets.
- Execution risk — slippage, spread widening, requotes, partial fills and latency can materially change the result of a trade compared to a back-test or a simulation.
- Technical failure — server outages, software defects, operating-system or platform updates, MetaTrader or broker-side changes, and hosting or VPS failures can prevent orders being placed, modified or closed.
- Connectivity — internet interruptions or broker API downtime can leave positions open and unmanaged.
- Configuration — incorrect lot sizing, symbol mapping, timezone or risk settings can produce results very different from those intended.
- Broker conditions — differences in symbol naming, contract size, commission, swap, margin rules and permitted order types can change behaviour between brokers.
- Unattended operation — automation does not remove the need for supervision. You should monitor your Trading Account regularly.
You acknowledge these risks and accept them as a condition of using the Services.
8. Jurisdiction-specific notices (India)
8.1 Not a SEBI-registered intermediary
Genni AI is not registered with the Securities and Exchange Board of India as an Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013, nor as a Research Analyst under the SEBI (Research Analysts) Regulations, 2014, nor as a portfolio manager, stock broker or any other intermediary. We do not provide investment advice, research recommendations, or portfolio management services to any person.
8.2 Foreign exchange and overseas platforms
Residents of India are subject to the Foreign Exchange Management Act, 1999 (FEMA) and to directions issued by the Reserve Bank of India regarding foreign-exchange transactions. Restrictions apply to trading foreign exchange through overseas electronic trading platforms, and to the remittance of funds for such purposes. The RBI publishes an “Alert List” of entities not authorised to deal in forex under FEMA or to operate electronic trading platforms for forex transactions.
It is your responsibility to satisfy yourself that any trading you undertake, any broker you use, and any remittance you make is permitted under FEMA, RBI directions and any other law applicable to you. Genni AI supplies software; it does not assess, advise on, or take responsibility for the legality of your trading activity, your choice of broker, or your movement of funds. If you are unsure, obtain independent legal advice before subscribing.
8.3 Taxation
You are solely responsible for determining, reporting and paying any tax arising from your trading activity, including income tax, and for any goods and services tax or equivalent indirect tax that may apply to fees payable to us. Fees are stated exclusive of applicable taxes unless expressly stated otherwise.
8.4 Other jurisdictions
If you are resident outside India, equivalent considerations apply under your local law. The Services are not directed at any person in any jurisdiction where such distribution or use would be contrary to law or regulation.
9. Your responsibilities
- You are solely responsible for your Trading Account, your capital, your position sizing and your risk management.
- You decide whether to start, pause or stop any Bot or automated strategy, and you may do so at any time.
- You are responsible for monitoring your Trading Account and for closing or adjusting positions where you consider it appropriate.
- You are responsible for configuring risk limits appropriate to your circumstances and for verifying that the configuration behaves as you expect — including by testing on a demo account first, which we strongly recommend.
- You are responsible for maintaining sufficient margin and for complying with your broker’s terms.
- You must notify us promptly of any suspected unauthorised access to your Account.
10. Account credentials and security
You will create a Genni AI website username and password. These are separate from, and must not be the same as, your MetaTrader credentials.
Where a Service requires it, you will supply your existing MetaTrader account ID, server and existing MetaTrader password so that the software can connect to your Trading Account. We handle these as sensitive credentials:
- MetaTrader credentials are encrypted at rest and are not stored in plain text;
- they are never displayed in the dashboard and are never returned by our interfaces;
- access is limited to the systems and personnel that require it to operate the Service, and such access is logged;
- your Genni AI website password is stored only as a salted one-way hash and cannot be recovered by us.
Genni AI will never ask for your MetaTrader password by phone, email, chat or messaging app. You should change your MetaTrader password at your broker if you believe it has been exposed, and you may revoke the link to Genni AI at any time by doing so.
No method of storage or transmission is completely secure. While we apply appropriate technical and organisational measures, we cannot guarantee absolute security. You remain responsible for keeping your own credentials confidential and for the security of the devices you use.
11. Fees, subscriptions and profit sharing
Fees, subscription charges and billing periods for each Service are set out at the point of purchase or in a separate service agreement, and must be accepted by you before the relevant Service is provided. Subscriptions are time-limited and grant a right to use the software only while the subscription is active.
Where a profit-sharing arrangement applies to a particular Service, the basis of calculation — including the measurement period, the high-water mark or equivalent mechanism, how losses are carried forward, when the share becomes payable, and how it is collected — will be set out in full in the applicable service agreement and must be expressly accepted by you before that Service begins. No profit share is payable unless it has been agreed in writing in advance.
You are responsible for all applicable taxes on fees payable to us. We may change fees for future billing periods on reasonable prior notice; changes do not apply retrospectively to a period already paid for.
12. Cancellation and refunds
You may cancel a subscription at any time with effect from the end of the current billing period. Access continues until the paid period expires and is then withdrawn. Fees already paid for a period that has commenced are generally non-refundable, except where required by applicable law or where we have failed to provide the Service.
Custom Work is quoted and invoiced per engagement. Once development has begun, amounts corresponding to work performed are non-refundable. The absence of profitability in a delivered Custom Work is not a defect and is not a ground for refund.
Expiry or cancellation of a subscription does not close any position in your Trading Account. Managing existing positions remains your responsibility.
13. Brokers and third-party platforms
The Services interoperate with third-party software and services, including MetaTrader (a product of MetaQuotes Ltd.) and your broker’s systems. We are not affiliated with, endorsed by, or acting as agent for MetaQuotes or any broker unless expressly stated.
We do not control and are not responsible for your broker’s spreads, commissions, swaps, slippage, execution quality, order rejection, margin policy, platform availability, solvency, regulatory standing, or treatment of your funds. Your relationship with your broker is governed by your agreement with them.
14. Limitation of liability
To the maximum extent permitted by applicable law, Genni AI, its directors, employees, contractors and affiliates shall not be liable for any trading loss, loss of profit, loss of opportunity, loss of data, loss of goodwill, or any indirect, incidental, special, consequential or punitive damages arising out of or in connection with the Services, including losses resulting from:
- market movements, volatility, gapping or illiquidity;
- the performance, non-performance or failure of any strategy, Bot or Indicator;
- defects, errors, interruptions or delays in software or systems;
- slippage, spread widening, requotes, partial fills or execution delays;
- acts, omissions, insolvency or regulatory action affecting your broker or any other third party;
- connectivity, hosting, VPS or internet failures;
- unauthorised access not caused by our failure to apply appropriate security measures; or
- any other event beyond our reasonable control, including force majeure.
Where liability cannot lawfully be excluded, our aggregate liability to you for all claims arising in any twelve-month period is limited to the total fees you actually paid to us for the relevant Service during that period.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.
15. Indemnity
You agree to indemnify and hold harmless Genni AI and its personnel against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, your breach of any law or regulation applicable to you, or any third-party claim relating to your trading activity.
16. Intellectual property
All software, source code, algorithms, indicators, documentation, branding, designs and content forming part of the Services are owned by Genni AI or its licensors. A subscription grants a limited, non-exclusive, non-transferable, revocable licence to use the relevant software for your own trading during the subscription period only.
You must not copy, redistribute, resell, sublicense, publish, rent, share access to, decompile, disassemble or reverse-engineer any part of the Services, or remove or obscure any proprietary notice, except to the extent such restriction is prohibited by applicable law.
For Custom Work, ownership of the delivered work product and of any underlying framework or library used to build it will be as set out in the applicable engagement agreement. Your underlying trading strategy remains yours.
17. Acceptable use
You must not use the Services to engage in market manipulation, abusive trading practices prohibited by your broker or by law, money laundering, terrorist financing, or any unlawful activity. You must not attempt to gain unauthorised access to our systems, interfere with their operation, or use the Services to harm any other person.
18. Data protection
We process personal data in accordance with our Privacy Policy and, where applicable to you, the Digital Personal Data Protection Act, 2023 and rules made under it, together with any other data-protection law that applies. By using the Services you consent to that processing for the purposes described in the Privacy Policy.
19. Suspension and termination
We may suspend or terminate your Account or any Service, with notice where practicable, if you breach these Terms, if payment is not made when due, if we reasonably suspect fraudulent or unlawful use, or if we are required to do so by law or by a regulator. We may also withdraw or discontinue a Service on reasonable notice.
You may close your Account at any time. On termination, your right to use the Services ends immediately. Termination does not close positions in your Trading Account, and does not affect rights or obligations accrued before termination.
20. Changes to these terms
We may amend these Terms from time to time. The revised version takes effect when published on this page, and the “last updated” date will be changed accordingly. Where a change is material we will make reasonable efforts to notify you. Continuing to use the Services after a change constitutes acceptance of the revised Terms.
21. Governing law and dispute resolution
These Terms are governed by the laws of India. Subject to the arbitration provision below, the courts at [insert city], India shall have exclusive jurisdiction.
Any dispute arising out of or in connection with these Terms shall, so far as possible, first be resolved by good-faith discussion. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [insert city], India, and the proceedings shall be conducted in English.
